In general, executives of U.S. companies are keenly aware that the U.S. is a litigious society. However, most Japanese-affiliated U.S. subsidiaries are not publicly traded, and their directors may not be aware of the risk of litigation against them, or if they are aware, they may be reluctant to discuss it with their parent company as a shareholder. The Delaware Corporation Code, the most widely chosen and leading-edge law governing incorporation, has recently been amended to add an officer's exemption in addition to the director's exemption in the articles of incorporation, which has increased the significance of this provision. This should help to deepen understanding of this system and encourage Japanese-affiliated companies in the U.S. to add an immunity provision to their articles of incorporation so that they can focus more boldly on taking advantage of business opportunities.

This webinar will focus on the Delaware Corporation Act, as amended, but will also discuss similar systems for directors' and officers' indemnification and the liability of LLC managers in New York, New Jersey, Connecticut, and California. The following is a summary of the discussion.
